Terms of Service

1. Acceptance of terms

By accessing or using DUKA, you agree to be bound by these Terms of Service and our Privacy Policy. If you don't agree, please don't use our services.

2. Description of service

DUKA provides cloud-based financial management software for small and medium businesses, including sales tracking, inventory, expense management, reporting, and compliance features. We may update, add, or remove features from time to time.

3. Account registration

• You must be at least 18 years old and able to form a binding contract.
• You must provide accurate, complete information when you sign up.
• You are responsible for maintaining the confidentiality of your password.
• You are responsible for all activity that occurs under your account.
• Notify us immediately of any unauthorized access.

4. Acceptable use

You agree not to:

• Use DUKA for any illegal purpose or in violation of any laws.
• Upload malware, viruses, or any harmful code.
• Attempt to gain unauthorized access to our systems or other accounts.
• Interfere with or disrupt the service or servers.
• Scrape, crawl, or reverse-engineer the service.
• Resell or sublicense access without our written permission.

We reserve the right to suspend or terminate accounts that violate these terms.

5. Intellectual property

The DUKA service, including software, design, and branding, is owned by DUKA Technologies Ltd and protected by intellectual property laws. Your data is yours. You retain all rights to the business data you upload to DUKA. We only process it to provide the service.

6. Subscription and payment

• Paid plans are billed monthly or annually in advance.
• Fees are non-refundable except as required by law or explicitly stated.
• We may change prices with 30 days' notice. Price changes won't apply to active billing periods.
• If payment fails, we'll attempt to charge again. After repeated failures, your account may be suspended.

7. Cancellation

You can cancel your subscription at any time from your account settings. Your account will remain active until the end of the current billing period. We keep your data for 90 days after cancellation in case you return — after that, it is permanently deleted.

8. Limitation of liability

To the maximum extent permitted by law, DUKA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold DUKA harmless from any claims, damages, or expenses arising from your use of the service, your violation of these terms, or your violation of any third-party rights.

10. Governing law

These Terms are governed by the laws of the Republic of Rwanda. Any disputes will be resolved in the courts of Kigali, Rwanda.

11. Changes to terms

We may modify these Terms from time to time. If the changes are material, we will notify you by email at least 30 days before they take effect. Continued use of DUKA after changes means you accept the new Terms.
